Goring Residents' Association Constitution and Rules
1. Name:
The Association shall be named the Goring Residents’ Association and shall be non-political and non-sectarian
2. Objects of the Association:
To preserve and to improve the amenities of Goring and the surrounding districts.
To encourage the growth of community spirit among the residents of Goring.
3. Membership:
Membership shall be open to all residents of Goring-by-Sea postal area. Person’s resident outside, but having an interest in Goring, may be admitted to membership, subject to the approval of the committee. The committee shall have power to restrict membership and to grant honorary membership. An Honorary Member shall have the rights and privileges of an ordinary member.
4. Committee:
A Committee shall be elected by the members at the Annual General meeting and shall be responsible for the general management of the Association. It shall consist of the Chair, Secretary, Treasurer, Social Secretary, Membership Secretary and Web Manager who shall be officers of the Association and up to eight elected members. At Committee meetings, in the absence of the Chair, the meeting shall elect its own Chair who will have a casting vote. The Committee shall have power to co-opt additional members and appoint sub-committees to organise ad hoc events.
5. Subscription:
The subscription fee for the ensuing year shall be decided at the Annual General Meeting and shall be payable from 1st June. Any member whose subscription remains unpaid by 30th November shall cease to be a member.
6. Road Wardens:
Road Wardens shall be appointed by the Membership Secretary. Their duties will be:
a. To collect subscriptions and donations.
b. To distribute membership cards and other matters issued by the Committee.
c. To act as representative of the members resident in the roads for which they are responsible.
d. Encourage new members.
7. Funds:
All income and property of the Association shall be applied towards the promotion of the objects of the Association and making donations to local charities or other deserving causes.
8 Treasurer:
The Treasurer shall keep account of all the monies spent and received and shall submit for audit by a person appointed by the Annual General Meeting, a financial statement as at the 31st May. A true copy, certified by the Treasurer and the Auditor, shall be sent to members with a Notice calling the Annual General Meeting. A bank account in the name of the Association shall be maintained and cheques drawn shall be signed by any two officers of the Association.
9 Auditor:
At the Annual General Meeting an Auditor, who shall not be a member of the Committee, shall be appointed by a show of hands.
10 Quorums:
At all Committee meetings five members shall form a quorum. For all General Meetings 20 members shall form a quorum. The Chair shall have the casting vote at all such meetings.
11 Annual General Meeting:
The Annual General Meeting of the Association shall be held not later than the thirtieth day of November each year for the following purposes:

To receive and if thought fit, approve the audited accounts of the Association for the financial year ended 31st May.

To receive the report of the Chair on the work of the Association for the year end 31st May.

To receive the report from the Treasurer on the financial state of the Association.

To elect the officers of the Association.

To elect the Committee of the Association.

To appoint the Auditor

To decide the subscription for the ensuing year.

To transact any other business, submitted in writing not less than 7 days before the meeting to the Secretary.
Only members of the Association can vote or ask questions.
Notice of the Annual General Meeting shall be given at least 28 days before the meeting.
Nominations for Officers and members of the Committee are to be submitted to the Secretary at least 7 days before the meeting.
Special General Meeting:
A Special General Meeting may be summoned at any time at the discretion of the Committee, or upon a written request addressed to the Secretary and signed by not less than 20 members.
Chair at meetings:
At an Annual General Meeting and any Special General Meeting, the Chair shall preside. In the absence of the Chair, the meeting will elect its own Chair, who will have a casting vote.
Dissolution:
If it is proposed to dissolve the Association, a Special General Meeting shall be called. If after all its debts have been satisfied, there remains any assets, they shall not be paid to members of the Group. They shall be given to a local charity or charities, as agreed by the members at the meeting.
Alteration of the Rules:
Alteration of these rules shall be made only at an Annual General Meeting or a Special General Meeting. Written notice of any proposed alterations must be in the hands of the Secretary at least 28 days before the meeting.
Availability of Rules:
A copy of these Rules will be available on application to the Secretary.​​​
